Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Telosolid platform operated by Prosense Limited (“Prosense”, “Telosolid”, “we”, “us”). By creating an account or using the service, you agree to these Terms.

1. The service

Telosolid provides a cloud-based generative mechanical design service that uses artificial intelligence to help you create 3D solid models, scripts, and related outputs from text, images, and other inputs. The service is offered on a subscription basis with usage allowances as described on our pricing pages.

Telosolid is a design assistance tool, not a substitute for qualified engineering review, regulatory certification, or professional advice.

2. Accounts & eligibility

• You must provide accurate registration information and keep your credentials secure.
• You are responsible for all activity under your account.
• You must be at least 16 years old and legally able to enter into these Terms.
• We may suspend or terminate accounts that violate these Terms or pose security risk.

3. Subscriptions, billing & design allowance

• Paid plans are billed monthly through Stripe. Prices and plan features are shown at checkout.
• Plan descriptions that reference a number of “designs per month” are estimates based on typical usage. Actual consumption depends on complexity, retries, compilation healing, and AI token usage.
• Complex or iterative designs may consume more of your monthly allowance than simple designs.
• When your allowance is exhausted, generation may be paused until the next billing period or you upgrade your plan.
• Refunds are handled according to Stripe and our published refund policy unless required by law.

4. Ownership of designs & outputs

You own the designs and outputs you create using Telosolid, subject to third-party rights in any source material you upload. Telosolid does not claim ownership of your generated models, scripts, or exported files.

You grant Telosolid a limited licence to host, process, and transmit your content solely to operate and improve the service (including AI generation and compilation). We do not sell your designs to third parties.

5. AI limitations — important

Generative AI and automated compilation can make mistakes. Outputs may be incomplete, dimensionally incorrect, non-manufacturable, or unsuitable for your intended use.

You are solely responsible for reviewing, validating, and testing every design before manufacturing, production, installation, or any safety-critical application. You must verify dimensions, tolerances, material suitability, fit, and compliance with applicable standards and regulations.

Telosolid does not warrant that any output is accurate, fit for a particular purpose, or free from defects.

6. Acceptable use

You agree not to:

• Use the service for unlawful, harmful, or infringing purposes
• Attempt to bypass usage limits, security controls, or billing
• Reverse engineer, scrape, or overload the platform
• Upload malware or content you do not have rights to use
• Share account credentials or resell access without authorisation

7. Intellectual property

The Telosolid software, branding, documentation, and knowledge systems remain our intellectual property. These Terms do not grant you rights to our trademarks or underlying technology except as needed to use the service.

8. Availability & changes

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may update these Terms; continued use after the effective date constitutes acceptance.

9. Disclaimer of warranties

The service is provided “as is” and “as available” to the fullest extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Telosolid and its directors, employees, and suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, production downtime, or manufacturing costs arising from your use of the service.

Our total liability for any claim relating to the service is limited to the greater of (a) the fees you paid to Telosolid in the twelve months before the claim, or (b) NZD $100.

Nothing in these Terms limits liability that cannot be excluded under New Zealand law (including the Consumer Guarantees Act where it applies to consumers).

11. Indemnity

You agree to indemnify Telosolid against claims arising from your designs, your use of outputs in production, your violation of these Terms, or infringement of third-party rights through content you provide.

12. Termination

You may cancel your subscription through the Stripe Customer Portal. We may terminate or suspend access for breach of these Terms. Upon termination, your right to use the service ends; provisions that by nature should survive (ownership, disclaimers, liability limits) remain in effect.

13. Governing law

These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of New Zealand courts. If you are a consumer, you may retain mandatory rights under your local jurisdiction.
